The name of this organization is Spring Hill Elementary School Parent Teacher Organization (SHES PTO).


The articles of organization of a local constituent organization include the bylaws of such organization.


Section 1. The objects of SHES PTO are:

a. To promote the welfare of children and youth.

b. To bring into closer relation the home and school, that parents and teachers may cooperate in the education of children and youth.

c. To help provide supplemental resources that enhances or enriches school curricula.

Section 2. The objects of SHES PTO are promoted, in cooperation with Spring Hill Elementary School, through an educational program directed toward parent, teachers, and the general public.

Section 3. SHES PTO is organized exclusively for the charitable, scientific, literary of educational purposes within the meaning of the Federal non-profit organization tax codes.


The following are basic policies of SHES PTO:

a. SHES PTO shall work with the schools to provide quality education for all children and youth, and shall seek to participate in the decision-making process establishing school policy, recognizing that the legal responsibility to make decisions has been delegated by the people to boards of education;

b. SHES PTO shall be noncommercial, nonsectarian, and nonpartisan;

c. The name of SHES PTO or the names of any members in their official capacities shall not be used to endorse or promote a commercial concern or in connection with any partisan interest for any purpose not appropriately related to promotion of the objects of SHES PTO;

d. SHES PTO shall not---directly or indirectly---participate or intervene (in any way, including the publishing or distributing of statements) in any political campaign on behalf of, or in opposition to any candidate for public office; or devote more than an insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise;

e. SHES PTO shall not enter into membership with other organizations without prior approval, as recorded in minutes, of the Executive Board;

f. No part of the net earnings of SHES PTO shall be used to the benefit or be distributed to its members, directors, trustees, officers or other private persons except that SHES PTO shall be authorized and empowered to pay reasonable compensation for services rendered and /or to make payments and distributions to further the purposes set forth in Article III hereof;

g. Notwithstanding any other provisions of these articles, SHES PTO shall not carry on any other activities not permitted by an organization under the federal non-profit tax codes;

h. Upon the dissolution of SHES PTO, after paying or adequately providing for the debts and obligations of SHES PTO, the remaining assets shall be distributed to one or more nonprofit funds, donations, or organizations which have established their tax exempt status under the Internal Revenue Code.


Section 1. SHES PTO shall be organized and chartered under the authority of the SHES PTO seven member Executive Board, in conformity with the following rules and regulations.

Spring Hill Elementary School Parent Teacher Organization will be considered in good standing through:

a. Adherence to the basic policies of SHES PTO;

b. Has bylaws approved;

c. Meets other criteria as may be prescribed by SHES PTO.

Section 2. Each officer of SHES PTO shall be a member of SHES PTO.

Section 3. SHES PTO shall keep such permanent books of accounts and records as shall be sufficient to establish the items of gross income, receipts, and disbursements of SHES PTO. Such books of account and records shall at all reasonable times be open to inspection by an authorized representative of USD #230 or by any member of SHES PTO.

Section 4. SHES PTO may dissolve and wind up its affairs in the following manner:

a. The Executive Board, or appointed committee, of SHES PTO may direct that the question of dissolution be submitted to a vote at a special meeting of members. Written or printed notice shall be given to each member of such meeting at least thirty (30) days prior to the date of such meeting;

b. Only those persons who were members in good standing of SHES PTO on the date of adoption of resolution and who continue to be members in good standing on the date of the special meeting shall be entitled to vote on the question of dissolution;

c. SHES PTO is obligated, upon dissolution of its organization to maintain all its books and records for a period of five years from the date of dissolution. These books and records will be stored at Spring Hill Elementary School.


Section 1. Membership in SHES PTO shall consist of any persons with students enrolled in Spring Hill Elementary School. Their membership shall become effective upon enrollment. Membership shall also include all Spring Hill Elementary School staff members.

Section 2. Every individual who is a member of SHES PTO is entitled to all benefits of such membership.

Section 3. Membership in SHES PTO shall be made available without regard to race, color, creed, or national origin.

Section 4. No member of SHES PTO shall pay such annual dues to said organization.


Section 1. Each officer of SHES PTO shall be a member of SHES PTO.

Section 2. Officers and their election:

a. The officers of SHES PTO shall consist of a president, a vice-president, a secretary, and a treasurer.

b. Officers shall be elected by ballot in the month of April. However, if there is but one nominee for any office, election for that office may be by voice vote.

c. Officers shall assume their official duties following the close of the meeting in (May) and shall serve for a term of one year. The exception is the vice-president who would ideally move into the role of presidency the following school year. If an elected position isn’t filled, the previously elected officer may continue the duties of the office.

Section 3. Nominating Committee:

a. There shall be a nominating committee composed of three members who shall be appointed by SHES PTO at a regular meeting at least one month prior to the election of officers. The committee shall elect its own chairman.

b. The nominating committee shall nominate an eligible person for each office to be filled and report its nominees at the regular meeting in (March), at which time additional nominations may be made from the floor.

c. Only those persons who have signified their consent to serve if elected shall be nominated for or elected to such office.


Section 1. The president shall:

a. Preside at all meetings; shall be a member ex officio of all committees, except the nominating committee, if any;

b. shall appoint special and standing committees;

c. shall perform such other duties as may be prescribed in these bylaws or assigned to them by the Executive Board;

d. and shall coordinate the duties of the officers and committees, in order that the objectives may be promoted.

Section 2. The vice-president shall:

a. The vice-president shall assist the president;

b. shall perform the duties of the president in the absence or inability of that officer to serve;

c. shall be a member ex officio of all committees;

d. shall represent SHES PTO at building and district level committees;

e. and shall perform such other duties as delegated to them.

Section 3. The secretary shall:

a. Keep a correct record of all meetings of the organization and the Board of directors as necessary;

c. shall perform such other duties as may be delegated by the president or any member of the Executive Board;

Section 4. The treasurer shall:

a. have custody of all the funds of SHES PTO;

b. keep a full and accurate account of receipts and expenditures;

c. make disbursements as authorized by the president, Executive Board, or SHES PTO in accordance with the budget adopted by SHES PTO;

d. have checks or vouchers signed by two persons, the treasurer and one other person;

e. present a financial statement at every meeting of SHES PTO and at other times when requested by the Executive Board;

f. make a full report at the meeting at which new officers officially assume their duties;

g. be responsible for the maintenances of such books of account and records as to conform to the requirements of the federal tax codes and USD 230;

h. have the accounts examined annually or upon change of officer by an auditor or auditing committee of not fewer than three members, who satisfied that the treasurer’s annual report is correct, shall sign a statement of that fact at the end of the report;

i. deliver to their successor all official material ten days prior to the beginning of the fiscal year.

Section 5. All officers shall:

a. Perform the duties outlined in these bylaws and those assigned from time to time.

b. Deliver to their successors all official material within ten days following the meeting at which new officers assume their official duties, excluding the treasurer.


Section 1.

a. The Executive Board shall consist of the officers of the association, past president, room parent representative, and the principal of the school or a representative appointed by them.

b. A majority of the Executive Board shall constitute a quorum for the transaction of business for SHES PTO.

Section 2. The duties of the Executive Board shall be:

a. to transact necessary business as may be referred to it by the organization;

Section 3. Special meetings of the Executive Board may be called by the president or by a majority of the members of the board, with three days notice given.


Section 1. At least four regular meetings of SHES PTO shall be held during the school year. Dates of meetings shall be determined by the Executive Board and announced at the first regular meeting of the year. Three days notice shall be given of a change of date.

Section 2. Special meetings of SHES PTO may be called by the president or by a majority of the Executive Board, with three days notice being given.

Section 3. The election meeting shall be held in (April).

Section 4. Seven members shall constitute a quorum for the transaction of business in any meeting of this organization.


Section 1. Only members of SHES PTO shall be eligible to serve in any elective or appointive positions.

Section 2. The Executive Board may create such standing committees, as it may deem necessary to promote the purpose and carry on the work of SHES PTO. The term of each chairman shall be one year or until the completion of the project.

Section 3. The chairman of each standing committee shall present a plan of work to the Executive Board for approval. No committee work shall be undertaken without the consent of the Executive Board.

Section 4. The president shall be a member ex officio of all committees except the nominating committee.


The fiscal year of this organization shall begin July 1 and end June 30.


Section 1. These bylaws may be amended at any regular meeting of SHES PTO by a two-thirds vote of the members present and voting, provided that notice of the proposed amendment shall have been given at least 30 days prior to the meeting at which the amendment is voted upon.

Section 2. A committee may be appointed to submit a revised set of bylaws as a substitute for the existing bylaws only by a majority vote at a meeting of SHES PTO, or by two-thirds vote of the Executive Board. The requirements for adoption of a revised set of bylaws shall by the same as in the case of an amendment.
